IMPORTANT NOTICE
These Terms and Conditions govern your use of this Website and your purchase of products from us. Please read these Terms carefully before using our Website or placing an Order. By accessing this Website or placing an Order, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not use this Website or purchase any Products from us.
1. Definitions and Interpretation

In these Terms, unless the context otherwise requires:
Account means a customer account created on the Website.
Business Day means any day other than a Saturday, Sunday or public holiday in England.
Consumer means an individual acting wholly or mainly outside their trade, business, craft or profession.
Contract means the legally binding agreement between you and us for the sale of Products following our acceptance of your Order.
Delivery Address means the address specified by you during the checkout process.
Order means your request to purchase Products from us submitted via the Website.
Products means any alcoholic or non-alcoholic beverages, merchandise or other goods offered for sale by us through the Website.
Subscription means any recurring purchase arrangement offered by us.
Terms means these Website Terms and Conditions.
Website means our website together with all associated webpages, online services and functionality.
Working Day means Monday to Friday excluding public holidays in England.
You or your means the customer placing an Order.
We, us and our means Tini Drinks Ltd, a company incorporated in England and Wales with company number 12887382 whose registered office is at 17 The Avenue, 5 Gerrard Court, Beckenham, England, BR3 5DU.
1.2 Interpretation
Headings are included for convenience only and shall not affect interpretation.
References to legislation include any amendments, replacements or re-enactments.
Where words such as "including", "includes" or "for example" are used, they shall be deemed to mean "including without limitation."
2. About Us
2.1 We operate an online retail business selling our own branded beverage products directly to consumers and businesses.
2.2 We currently sell Products within the United Kingdom and may also make Products available internationally where permitted by applicable law.
2.3 All Products sold through the Website remain subject to availability.
2.4 Nothing on the Website constitutes an offer capable of immediate acceptance. Any Order submitted by you constitutes an offer to purchase Products from us which we may accept or reject at our discretion.
3. Acceptance of these Terms
3.1 By accessing the Website you confirm that you have read and understood these Terms.
3.2 By placing an Order you agree that these Terms shall apply to the exclusion of all other terms.
3.3 If you purchase Products on behalf of a business, you confirm that you have authority to bind that business to these Terms.
4. Eligibility to Purchase
4.1 Our alcoholic Products may only be purchased by individuals who are at least 18 years old, or such higher minimum legal drinking age as applies within the country where delivery is requested.
4.2 By placing an Order you warrant that:
(a) you satisfy the applicable minimum legal drinking age;
(b) all information supplied by you is true, accurate and complete;
(c) you are legally entitled to purchase alcohol within your jurisdiction; and
(d) you will not supply the Products to anyone who is under the applicable legal drinking age.
4.3 We reserve the right to refuse any Order where we reasonably believe these requirements have not been satisfied.
5. Customer Accounts
5.1 Customers may create an Account on the Website.
5.2 You are responsible for ensuring that your login credentials remain confidential.
5.3 You are responsible for all activity carried out through your Account unless caused by our negligence.
5.4 You must notify us immediately if you believe your Account has been compromised.
5.5 We reserve the right to suspend or terminate any Account where:
(a) false information has been provided;
(b) these Terms have been breached;
(c) fraudulent activity is suspected;
(d) unlawful activity is suspected; or
(e) continued operation of the Account may expose us or other customers to risk.
5.6 Account termination shall not affect any outstanding Orders or accrued rights.
6. Products
6.1 We manufacture and sell our own branded Products only.
6.2 Product descriptions, photographs, tasting notes and images are provided for illustrative purposes only.
6.3 Whilst we make every effort to ensure accuracy, minor variations may occur between images displayed on the Website and the Products supplied.
6.4 Products should be stored in a cool, dry place away from direct sunlight.
6.5 Products supplied in glass bottles should be handled with appropriate care.
6.6 You are responsible for ensuring that Products are stored appropriately following delivery.
6.7 We reserve the right to amend Product specifications where necessary to comply with legal or regulatory requirements provided such changes do not materially affect the Product.
7. Availability
7.1 All Products are offered subject to availability.
7.2 We do not guarantee that any Product will remain continuously available.
7.3 We may discontinue Products without notice.
7.4 We shall not be liable where Products become unavailable before acceptance of an Order.
8. Orders
8.1 Placing an Order constitutes an offer by you to purchase the selected Products.
8.2 Following submission of your Order, you will receive an acknowledgement email confirming receipt.
8.3 This acknowledgement does not constitute acceptance of your Order.
8.4 A Contract is formed only when we issue an Order Confirmation confirming acceptance.
8.5 We reserve the right to reject any Order for any lawful reason including where:
(a) Products are unavailable;
(b) payment cannot be authorised;
(c) age verification cannot be completed;
(d) we suspect fraudulent activity;
(e) pricing or technical errors have occurred;
(f) export restrictions apply; or
(g) fulfilment would breach applicable law.
8.6 Where an Order cannot be accepted after payment has been taken, a refund will be processed using the original payment method.
9. Age Verification
9.1 Due to the nature of our Products, age verification is mandatory.
9.2 During checkout we may undertake electronic age verification using third-party verification services.
9.3 You agree to provide any information reasonably requested to verify your identity or age.
9.4 Our delivery partners may also operate Challenge 25 or equivalent age verification procedures.
9.5 If suitable identification cannot be produced on request, delivery may be refused.
9.6 We reserve the right to cancel an Order where:
(a) age verification fails;
(b) false information has been supplied;
(c) we reasonably suspect an attempt to purchase on behalf of a minor; or
(d) completion of the sale would breach any applicable legislation.
9.7 Any refund following failed age verification may be reduced by reasonable delivery and return costs where legally permissible.
10. Prices
10.1 Prices displayed on the Website are shown in Pounds Sterling unless otherwise stated.
10.2 VAT shall be included where applicable.
10.3 Delivery charges will be shown separately during checkout.
10.4 Prices applicable to international orders may exclude customs duties, import taxes or local charges.
10.5 Such charges remain your sole responsibility.
11. Payment
11.1 Payment must be made in full before Products are dispatched.
11.2 We currently use Stripe to process payments securely.
11.3 We do not store full payment card details on our servers.
11.4 We reserve the right to undertake fraud prevention checks before accepting any Order.
11.5 If payment authorisation fails, no Contract shall arise.
12. Subscriptions
12.1 Certain Products may be available on a Subscription basis.
12.2 Subscription details including pricing, delivery frequency and billing dates shall be displayed during checkout.
12.3 By purchasing a Subscription, you authorise us to collect recurring payments using your chosen payment method.
12.4 Unless stated otherwise, Subscriptions shall continue until cancelled by you.
12.5 You may cancel your Subscription through your Account or by contacting us before your next scheduled renewal date.
12.6 Cancellation shall not affect any Subscription Order already processed.
12.7 We reserve the right to amend Subscription pricing by giving reasonable prior notice.
12.8 If payment for a Subscription cannot be collected, we may suspend or terminate the Subscription.
13. Delivery
13.1 We currently offer standard delivery services.
13.2 Delivery estimates are provided in good faith but are not guaranteed.
13.3 We shall not be liable for delays outside our reasonable control.
13.4 Deliveries will be made to the address specified during checkout.
13.5 It is your responsibility to ensure the delivery address is accurate.
13.6 If delivery cannot be completed because incorrect information has been supplied, additional delivery charges may apply.
13.7 Products will not ordinarily be left in a safe place or with neighbours unless expressly authorised by you.
13.8 Where you request delivery to a neighbour, concierge or other nominated person, risk in the Products shall pass once delivery has been completed to that person.
13.9 If delivery cannot be completed because nobody is available to receive the Products, our courier may attempt re-delivery or return the Products to us.
13.10 Additional delivery charges arising from failed delivery attempts may be payable by you.
13.11 Delivery times for international orders may vary depending upon customs clearance, local regulations and carrier availability.
13.12 You are responsible for ensuring the Products may lawfully be imported into your chosen destination country.
13.13 We accept no responsibility for delays, seizures, destruction or confiscation by customs authorities or other governmental agencies.
13.14 Any customs duties, import taxes or clearance charges shall remain your responsibility.
13.15 Risk in the Products passes to you upon delivery.
13.16 Ownership of the Products shall not pass until we have received payment in full for all sums due under the Contract.
14. Returns, Refunds and Consumer Rights
14.1 Faulty, Damaged or Incorrect Products
14.1.1 We take great care to ensure that all Products are of satisfactory quality and match their description.
14.1.2 If you believe that any Product supplied by us is faulty, damaged in transit, defective or materially different from the Product ordered, you must notify us as soon as reasonably practicable after delivery.
14.1.3 We may request reasonable evidence of the issue, including photographs of the Product, packaging and any damage sustained during transit before determining the appropriate remedy.
14.1.4 Subject to our assessment and your statutory rights, we may, at our discretion:
(a) replace the Product;
(b) repair the Product where appropriate;
(c) provide a full or partial refund; or
(d) offer an alternative remedy that we consider reasonable in the circumstances.
14.1.5 Nothing in these Terms excludes or limits your statutory rights under applicable consumer legislation.
14.2 Change of Mind
14.2.1 Due to the nature of our Products, we do not generally accept returns where you have simply changed your mind.
14.2.2 Nothing in this clause affects any statutory cancellation rights available under applicable consumer legislation where such rights cannot legally be excluded.
14.3 Opened Products
14.3.1 Opened bottles and Products which have had their seals broken cannot be returned unless they are faulty or otherwise not in conformity with the Contract.
14.3.2 This restriction is necessary due to hygiene, food safety and quality assurance requirements.
14.4 Return Shipping
14.4.1 Unless the Product is faulty, damaged or incorrectly supplied, you are responsible for all costs associated with returning Products to us.
14.4.2 Returned Products remain your responsibility until safely received by us.
14.4.3 We recommend that returned Products are packaged securely and sent using a tracked delivery service.
14.5 Refunds
14.5.1 Approved refunds will be processed using the original payment method wherever reasonably possible.
14.5.2 Refunds will usually be processed within fourteen (14) days of approval.
14.5.3 Delivery charges may only be refunded where required by law or where we determine that the Product supplied was faulty or incorrectly supplied.
15. Promotions, Discounts and Offers
15.1 We may offer promotional discounts, discount codes, bundle offers or limited-time promotions from time to time.
15.2 Promotions are subject to any additional terms published alongside the relevant offer.
15.3 Unless expressly stated, promotions:
(a) cannot be combined;
(b) cannot be exchanged for cash;
(c) are non-transferable; and
(d) may be withdrawn or amended at any time.
15.4 We reserve the right to cancel promotions where misuse, fraud or technical error has occurred.
15.5 Promotional availability does not create any obligation for us to continue offering similar promotions in the future.
16. Business Customers
16.1 Where Products are purchased by businesses, additional commercial arrangements may apply.
16.2 Nothing in these Terms creates any exclusivity, distribution rights or authorised reseller status.
16.3 Businesses wishing to purchase Products for resale or wholesale purposes must obtain our prior written approval.
17. Restrictions on Resale
17.1 Products purchased through the Website are intended for personal use unless otherwise agreed in writing.
17.2 You must not resell, redistribute or commercially exploit our Products without our prior written consent.
17.3 We reserve the right to refuse future Orders where we reasonably believe Products are being purchased for unauthorised resale.
18. Intellectual Property
18.1 All intellectual property rights in the Website and its contents remain owned by us or our licensors.
18.2 This includes, without limitation:
(a) our company name;
(b) logos;
(c) trade marks;
(d) product names;
(e) branding;
(f) photographs;
(g) graphics;
(h) packaging designs;
(i) artwork;
(j) videos;
(k) software;
(l) website design;
(m) recipes;
(n) written content; and
(o) all associated goodwill.
18.3 No ownership rights are transferred to you through use of the Website or purchase of Products.
18.4 You may view, download and print material solely for your own personal and non-commercial use.
18.5 You must not without our prior written consent:
(a) copy;
(b) reproduce;
(c) modify;
(d) distribute;
(e) publish;
(f) exploit commercially;
(g) reverse engineer;
(h) create derivative works from; or
(i) otherwise use our intellectual property.
18.6 Any unauthorised use may constitute an infringement of intellectual property rights.
19. Customer Reviews and User Content
19.1 Customers may submit reviews, ratings, photographs or other content through the Website.
19.2 By submitting content you warrant that:
(a) you own the necessary rights;
(b) your content is accurate;
(c) your content is not misleading;
(d) your content does not infringe any third-party rights;
(e) your content is not unlawful, defamatory, abusive or offensive.
19.3 By submitting content you grant us a perpetual, worldwide, royalty-free, transferable licence to use, reproduce, publish, adapt, edit and display that content for marketing, promotional and business purposes.
19.4 We reserve the right to remove any content at our absolute discretion.
20. Acceptable Website Use
20.1 You agree not to use the Website:
(a) unlawfully;
(b) fraudulently;
(c) in a manner likely to disrupt the Website;
(d) to introduce malicious software;
(e) to harvest customer data;
(f) to infringe intellectual property rights;
(g) to impersonate another individual; or

20.2 We reserve the right to suspend access where misuse is suspected.

21.2 By using the Website you acknowledge that your personal data may be processed for the purposes of fulfilling Orders, administering Accounts, preventing fraud and complying with legal obligations.
21.3 Payment information is processed securely through Stripe.

22. Responsible Drinking
22.1 Our Products should always be consumed responsibly.
22.2 We do not encourage excessive or irresponsible alcohol consumption.
22.3 You are responsible for complying with all applicable laws relating to the purchase, possession and consumption of alcohol within your jurisdiction.
23. Limitation of Liability
23.1 Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any liability that cannot lawfully be excluded.
23.2 Subject to clause 23.1, our total liability arising from any Contract shall not exceed the amount paid by you for the relevant Products.
23.3 We shall not be liable for:
(a) indirect loss;
(b) consequential loss;
(c) loss of profits;
(d) loss of revenue;
(e) loss of business;
(f) loss of goodwill;
(g) business interruption;
(h) loss of anticipated savings; or
(i) any loss arising from misuse of the Products.
23.4 Nothing in these Terms affects any statutory rights available to Consumers.
24. Force Majeure
24.1 We shall not be liable for any failure or delay in performing our obligations where such delay results from events beyond our reasonable control.
24.2 Such events include, without limitation:
(a) natural disasters;
(b) fire;
(c) flood;
(d) pandemic;
(e) epidemic;
(f) war;
(g) terrorism;
(h) strikes;
(i) shortages of raw materials;
(j) transport disruption;
(k) governmental action; or
(l) interruption to utilities or telecommunications.
24.3 Performance of our obligations shall be suspended for the duration of the relevant event.
25. Suspension and Termination
25.1 We reserve the right to suspend or terminate your access to the Website where we reasonably believe that these Terms have been breached.
25.2 Termination shall not affect any accrued rights or liabilities.
26. Complaints
26.1 We aim to provide excellent customer service.

26.3 We will endeavour to investigate complaints fairly and within a reasonable timeframe.
27. Changes to these Terms
27.1 We reserve the right to amend these Terms from time to time.
27.2 Updated versions shall take effect immediately upon publication unless otherwise stated.
27.3 The Terms in force at the time an Order is accepted shall apply to that Order.
28. Severance
28.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be deemed severed.
28.2 The remaining provisions shall continue in full force and effect.
29. Waiver
Any failure by us to enforce any provision of these Terms shall not constitute a waiver of our rights.
30. Third Party Rights
Unless expressly stated otherwise, no person who is not a party to these Terms shall have any right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.
31. Entire Agreement
31.1 These Terms, together with any documents expressly referred to within them, constitute the entire agreement between the parties relating to the sale of Products through the Website.
31.2 You acknowledge that you have not relied upon any representation which is not expressly contained within these Terms.
32. Governing Law and Jurisdiction
32.1 These Terms, any Contract entered into pursuant to them and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
32.2 If you are a Consumer, you may also benefit from any mandatory provisions of the law of the country in which you are resident where those provisions apply.
32.3 Subject to clause 32.2, the courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms or any Contract.
